The Limited Liability Company (Spółka z ograniczoną odpowiedzialnością or Sp. z o.o.) is the most common legal form for doing business in Poland. It offers limited liability for shareholders, meaning your personal assets are protected, and provides a clear legal structure recognized worldwide.
Registration Methods
We offer two primary paths to registration, depending on your needs:
- S24 System (Online): This is the fast-track method. We use a standard template articles of association provided by the Ministry of Justice. Registration can often be completed within 24-48 hours. This is ideal for companies with simple ownership structures and standard operations.
- Notarial Deed: This method allows for a fully customized articles of association. You can tailor the rules regarding share transfers, management board powers, and dividend distribution. It takes longer but offers maximum flexibility.
Key Requirements
- Minimum Capital: The minimum share capital is 5,000 PLN.
- Shareholders: Can be one or more individuals or companies (restrictions apply to single-member companies owned by another single-member company).
- Management Board: Must have at least one member (can be a foreigner and does not need to reside in Poland).
